These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Strpricely, Inc. ("Strpricely," "we," "us," or "our"), a Florida corporation headquartered at 333 SE 2nd Avenue, Suite 2600, Miami, FL 33131.
By creating an account, accessing, or using the Strpricely platform or any associated services (collectively, the "Service"), you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use the Service.
Strpricely provides a SaaS platform for short-term rental (STR) operators that includes dynamic pricing recommendations, competitor rate benchmarking, occupancy tax compliance monitoring, and integrations with STR platforms including Airbnb, Vrbo, and major property management systems. Features and capabilities may change over time; we will provide reasonable notice of material changes.
To use the Service, you must register for an account. You agree to:
You are responsible for all activity that occurs under your account.
Access to the Service requires payment of subscription fees as described on our Pricing page. All fees are stated in U.S. dollars and are exclusive of applicable taxes.
Subscription fees are billed in advance on a monthly or annual basis, depending on the plan you select. By providing payment information, you authorize us to charge you for the selected plan and any applicable renewal fees.
If we offer a free trial, you will not be charged during the trial period. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial expires.
All fees are non-refundable except as required by applicable law or as expressly stated in a written agreement with Strpricely.
We reserve the right to change our pricing at any time. We will provide at least 30 days' advance notice of price increases. Your continued use of the Service after the effective date of a price change constitutes acceptance of the new pricing.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
All content, features, functionality, software, algorithms, and trademarks of the Service are and will remain the exclusive property of Strpricely and its licensors. These Terms do not grant you any right, title, or interest in the Service beyond the limited license to use the Service as described herein.
You retain ownership of all data you upload or input into the Service ("Your Data"). You grant Strpricely a limited, non-exclusive license to process Your Data solely to provide and improve the Service.
The Service integrates with third-party platforms including Airbnb, Vrbo, and various property management systems. Your use of those integrations is subject to the respective third-party terms of service. Strpricely is not responsible for the actions, content, or policies of third-party platforms.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, STRPRICELY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
STRPRICELY DOES NOT WARRANT THAT PRICING RECOMMENDATIONS WILL RESULT IN ANY PARTICULAR REVENUE OUTCOME, THAT COMPLIANCE MONITORING WILL IDENTIFY ALL APPLICABLE TAX OBLIGATIONS, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STRPRICELY AND ITS DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF STRPRICELY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL STRPRICELY'S AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO STRPRICELY DURING THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
You agree to indemnify, defend, and hold harmless Strpricely and its directors, employees, agents, and licensors from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any third-party rights.
These Terms are effective from the date you first access the Service and remain in effect until terminated. You may terminate your account at any time by contacting us at [email protected]. We may suspend or terminate your account immediately if you breach these Terms or if we are required to do so by law.
Upon termination, your right to use the Service ceases immediately. We will retain and delete Your Data in accordance with our Privacy Policy and applicable law.
These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules in Miami, Florida, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
