These Terms of Service ("Terms") govern your access to and use of the Strpricely website at strpricely.com and the Strpricely platform and services (collectively the "Service"). By accessing or using the Service you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing and using the website at strpricely.com and the Strpricely platform (the "Service"), you accept and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, please do not use our Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Strpricely provides a software-as-a-service platform for short-term rental (STR) operators that includes dynamic pricing automation, channel management, and compliance monitoring tools. The Service is intended for property managers, individual hosts, and STR businesses operating vacation rental properties.

The Service integrates with third-party platforms including but not limited to Airbnb, VRBO, Booking.com, Expedia, Guesty, Hostfully, OwnerRez, Lodgify, Hospitable, and iGMS. Your use of such third-party platforms is governed by their own terms of service and privacy policies.

3. Accounts & Registration

To access certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration;
  • Maintain and update your account information to keep it accurate;
  • Maintain the security and confidentiality of your account credentials;
  • Notify us immediately at [email protected] of any unauthorized use of your account;
  • Accept responsibility for all activities that occur under your account.

You must be at least 18 years of age and have the legal authority to enter into these Terms to create an account. Accounts registered by automated methods are prohibited.

4. Acceptable Use

You may use the Service for lawful purposes only. You agree not to:

  • Use the Service in any way that violates applicable federal, Florida, or local laws or regulations, including laws governing short-term rental operations, permitting, and taxation;
  • Misrepresent your identity, property listings, or rental operations;
  • Upload or transmit any content that is unlawful, defamatory, fraudulent, or infringing on intellectual property rights;
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure;
  • Use the Service to transmit unsolicited advertising or promotional material (spam);
  • Interfere with or disrupt the integrity or performance of the Service;
  • Reverse engineer, decompile, or attempt to extract the source code of any part of the Service;
  • Access the Service by any means other than through interfaces we provide;
  • Engage in any conduct that could harm, disable, overburden, or impair the Service.

5. Subscriptions & Payments

Access to the Strpricely platform is provided on a subscription basis. Subscription plans, pricing, and billing terms are described on our platform and may be updated from time to time with reasonable notice to subscribers.

  • Billing: Subscriptions are billed in advance on a monthly or annual basis depending on your selected plan;
  • Auto-renewal: Subscriptions renew automatically unless you cancel before the renewal date;
  • Refunds: Refund requests are evaluated on a case-by-case basis. Monthly subscriptions cancelled mid-period are not automatically refunded; annual subscriptions cancelled within 14 days of initial purchase may be eligible for a pro-rated refund;
  • Taxes: You are responsible for all applicable taxes and fees associated with your subscription.

6. Intellectual Property

The Service and its original content, features, functionality, algorithms, and design are and will remain the exclusive property of Strpricely and its licensors, protected by applicable intellectual property laws including copyright, trademark, and trade secret laws.

You retain ownership of any data, property listings, or content you upload to the Service ("Your Content"). By using the Service, you grant Strpricely a limited, non-exclusive, royalty-free license to use Your Content solely to provide and improve the Service. You represent that you have all rights necessary to grant this license.

Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

7. Pricing Recommendations & Compliance Alerts — Disclaimer

Strpricely's dynamic pricing recommendations are generated by automated algorithms based on market data, historical patterns, and third-party inputs. These recommendations are provided for informational purposes only and do not constitute a guarantee of any particular revenue outcome, occupancy rate, or pricing result.

Compliance monitoring features (permit tracking, tax filing reminders, ordinance alerts) are provided as an informational tool to assist you in tracking compliance obligations. Strpricely does not provide legal advice and the Service does not constitute legal, tax, or regulatory counsel. You are solely responsible for ensuring compliance with all applicable federal, Florida, Miami-Dade County, and local laws governing short-term rental operations, permitting, and taxation. Always verify compliance obligations with qualified legal or tax professionals.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. STRPRICELY DOES NOT WARRANT THAT:

  • The Service will be uninterrupted, error-free, or secure;
  • Any results obtained from using the Service will be accurate, complete, or reliable;
  • Any errors in the Service will be corrected;
  • Pricing recommendations will generate any specific revenue outcome.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, STRPRICELY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF STRPRICELY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall Strpricely's aggregate liability to you for all claims relating to the Service exceed the amount paid by you to Strpricely in the twelve (12) months preceding the claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless Strpricely and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any applicable law or the rights of any third party.

11. Third-Party Links & Integrations

The Service may contain links to third-party websites or provide integrations with third-party platforms. These are provided for your convenience and operational needs. Strpricely has no control over the content, privacy policies, or practices of third-party sites and assumes no responsibility for them. Your use of third-party platforms (including Airbnb, VRBO, Guesty, and others) is subject to those platforms' own terms and conditions.

12. Termination

We may terminate or suspend your account and access to the Service at any time, with or without cause or notice, if you breach these Terms or engage in conduct we determine to be harmful to the Service or other users. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by contacting us at [email protected]. Termination does not relieve you of any payment obligations incurred prior to termination.

Provisions that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity obligations, and limitations of liability.

13. Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand our practices regarding collection and use of your personal information.

14. Changes to These Terms

Strpricely reserves the right to modify these Terms at any time. We will notify active subscribers of material changes by email or by posting a prominent notice on the Service at least 14 days before the changes take effect. Your continued use of the Service after such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service and may cancel your subscription.

15. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction of such courts.

Before filing any formal legal claim, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

16. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy and any applicable subscription agreement, constitute the entire agreement between you and Strpricely regarding the Service;
  • Severability: If any provision of these Terms is found invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in effect;
  • Waiver: Failure to enforce any provision of these Terms does not waive our right to enforce it in the future;
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
